Product purchase.

All product purchases shall be initiated by Buyer issuing a Purchase order, which can be accepted by fax (preferably), e-mail, mail or through online ordering system. All orders are subject to acceptance by Prism Electronics. We do not accept verbal orders. Orders shall contain such information as: unit quantities, part numbers, descriptions, applicable prices and requested delivery dates and must specify prior shipping if any restrictions for brand, packaging or date codes. No orders may be cancelled or rescheduled without Prism Electronics’ consent, which may be given by Prism Electronics in its sole discretion.. Products identified by Prism Electronics verbally, online or in written as "NCNR" or "Non-Cancelable and Non-Returnable" shall be non-cancelable and non-returnable. Please note that prices are subject to change without prior notice and sales may be limited by stock availability.

For shipping in US minimum order is $ 50.00ea for product in stock, for international orders including Canada minimum order $75. For available product (not in stock) minimum order shall be as specified in quote.


Payment terms.

Credit cards temporarily are not accepted. For domestic order COD ( collect on delivery), for international orders wire transfer or cashier check in US funds only. We do not accept personal or company checks, letter of credit for international orders, domestic order personal checks may be a subject of fund verification, which may delay shipment. NET terms offered for approved buyers only matching certain criteria (it is on Prism Electronics sole discretion to determine if Buyer meets such criteria). Orders are subject to credit approval by Prism Electronics, which may in its sole discretion at any time change the terms of Buyer's credit.

If Buyer failed to pay any invoice when due, Prism Electronics may suspend delivery of any order or any remaining balance thereof until such payment is made, and Buyer shall remain liable to pay for any Products already shipped. If payment is not received within period of time specified by Prism Electronics, Prism Electronics has a right to cancel the order or any remaining balance. Buyer agrees to submit financial information necessarily for credit approval/continuation from time to time as may be reasonably requested by Prism Electronics. Prism Electronics has a right to pursue any legal or equitable remedies if Buyer fails to make payment when due, in which event Prism Electronics shall be entitled to reimbursement for costs of reasonable attorneys fees and collection and has a right to collect the interest on any invoice not paid when due from the due date to the date of payment at such lower rate as may be the maximum allowable by law.

Handling fee of $6-10 be added to international orders (Prism Electronics reserve the right to include Buyer’s wire transfer fees into invoice as well). Wire transfer fees must be paid in addition to the order amount plus shipping charges if shipping on Prism Electronics’s shipping account number.

Credit cards payment accepted only for product purchased online and subject of acceptance by Prism Electronics.


SALES TAX.

Sales tax of 8.25% shall apply to all California residents unless resale certificate provided prior shipping (please, fax it to 408-778-7205) and mail the original to: Prism Electronics, 305 Digital Drive, Morgan Hill Ca 95037 USA, attn: accounting department.

PRICES.

Prices shall be as specified by Prism Electronics and shall be applicable for 15 (fifteen) days for product in stock, unless otherwise specified by Prism Electronics representative verbally or in written. Exempt: products available (not in stock). Price (USD) for available product valid for 3 business days only and requires reconfirmation before placing an order. Notwithstanding the foregoing, prices shall be subject to increase in the event of an increase in Prism Electronics's costs or other circumstances beyond Prism Electronics's reasonable control. Prices are exclusive of taxes & duties, impositions, shipping, bank fees, broker fees or any other charges, which shall be paid by Buyer to Prism Electronics in addition to the price (USD) of the Products.

Prism Electronics shall not be responsible for typographical or other errors or omissions regarding prices or other information.


SHIPPING & DELIVERY.

All shipments by Prism Electronics are CA F.O.B. point of origin and Buyer pays the shipping charges, insurance, taxed and duties in addition to the price (USD) of the Products. Prism Electronics offers shipping via FEDEX Express for domestic orders and International orders. For DHL/UPS shipping account number must be provided and can be used for international shipments only. We do not use UPS for domestic shipping. FEDEX ground offered for shipments to US and Canada and for packages over 10 lbs only. In addition, Prism Electronics can offer United States Postal Service for international shipments only (this service does not apply to electronic component orders, only for electronic equipment). Please note that for United States Postal Service shipments scheduled twice a week only. Buyer acknowledges that delivery dates provided by Prism Electronics are estimates only and that Prism Electronics is not liable for failure to deliver on such dates, however Prism Electronics shall use reasonable efforts to initiate shipment and schedule delivery as close as possible to Buyer's requested delivery dates.

For component category domestic COD or prepaid shipments are usually made the same day (purchase order must be received before 1 p.m. Western standard time), for available product (not in stock) – within 1- 3 days after receiving the purchase order unless different lead time specified by Prism Electronic\s representative. International orders shall be shipped the same or next business day after receiving Prism Electronics’s bank confirmation of payment (for product in stock), for available product – as specified in quote. If quantity of the actual stock varies from the quantity specified in order, Prism Electronics will notify Buyer of such discrepancies in written or verbally prior shipping, and product will be shipped only after receiving Buyer’s confirmation.

If item is not available for immediate shipping, orders paid by cashier check, money order shall be shipped as they become available (if such availability exists) but no later than 10 days from the order date. Orders for unavailable items will be canceled and refund or credit will be issued.

For credit card payment all orders will be shipped to credit card billing address only in order to protect our customers. Buyer must notify its credit card company of the alternative shipping address in order for us to ship to such address. Prism Electronics shall verify validity of the address. If billing address cannot be verified, the order will be canceled. To avoid delays with order processing, please provide us with correct credit billing address.

For all new customers shipping account shall be validated with a shipping courier. If account number provided is not valid – shipping charges shall be added to the purchase order and prepaid. No shipment shall be made until full amount of balance due is received. Please note that UPS does not allow shipping on receiver’s account number registered in China. No shipments shall be made to such accounts. UPS Account number registered in Hong Kong is acceptable.

For shipping in U.S.:
Shipping charges and taxes will be added to your order total after the order is placed unless shipping account provided. Please note- we only ship by FEDEX, no UPS.

Estimated shipping charges for electronic components only (for equipment category please contact us for shipping rate):
FEDEX PRIORITY/STANDARD OVERNIGHT – will be calculated individually in each case
FEDEX 2 day -$11.65, for California residents- $7.47
FEDEX SAVER (3 day) -$11.50, for California residents- $7.19
FEDEX ground (for packages over 10 lbs only)- $10.00.

Shipping outside the U.S.:
Shipping and Handling charges outside the U.S. may vary and can be shipped under the customer's carrier and account number when supplied (account number will be verified). For addition information about shipping procedures please see our Terms and Conditions.


PRODUCT ACCEPTANCE AND PRODUCT RETURNS.

It is Buyer’s responsibility to inspect and accept the product. Unless Prism Electronics received written notice of rejection within 7 (seven) days after delivery of the Products, Buyer is deemed to have accepted the Products and waives any right to revoke acceptance thereafter. Any discrepancies such as shipment quantity, part numbers, specified on the purchase order limitations, damage or visual defects must be reported by Buyer within 7 (seven) days after delivery. Return of Products shall be accepted by Prism Electronics only with a Return Material Authorization ("RMA") issued by Prism Electronics’ authorized representative. All request for RMA must be submitted by fax or e-mail. For product claimed to be defective a complete description of the defect nature must be included.

Returned Products must be returned the same condition and packing as shipped to Buyer (including all manuals, cables, software etc), incomplete product returned shall be a subject of additional fee. Freight charges must be prepaid by Buyer or Prism Electronics on Prism Electronics’ sole discretion (as shall be specified by Prism Electronics on RMA form). Please note that if returned product was damaged due improper packaging, handling or usage – no refund shall be issued.

COD returns can not be accepted.

Products not eligible for return shall be returned to Buyer at his expense, restocking fee may apply. Product returned may be a subject of restocking fee no less than 20% from the order amount. It is Prism Electronics’ sole discretion to determine whether returned product is eligible for restocking fee and Buyer acknowledges the acceptance of such fee. No returns allowed on product specified by Prism

Electronics as NCNR (see p.1 “Orders”). Refused packages are subject to restocking fee of 20%, no exceptions. Prism Electronics reserves the right to change the restocking fee if Prism Electronics direct loss from canceled or returned order is higher than 20% from the order amount.

All product returned must have RMA form enclosed with Prism Electronics’s authorization (must have a signature of authorized representative).

All the RMA product are subject to Prism Electronics’s inspection and acceptance. All RMA requests will be processed within 3 business days upon receiving the product, unless product requires additional testing.
